1. Who these Terms are between. These Terms of Service are an agreement between you and Walt Capital Management (Pty) Ltd (registration number 2018/393397/07), an authorised financial services provider (FSP 50218). Office: The Vineyard Office Estate, 99 Jip de Jager Drive, De Bron, Cape Town, 7530. They govern your use of our client platform, including the sign-up process.
2. What the platform does. The platform is where you provide your information, complete our onboarding documents, sign them electronically, and — once your account is active — access your account information, statements and reports.
3. How electronic signing works. By accepting these Terms, you and Walt Capital Management agree that typing your full name into a signature field on the platform, while logged in to your verified account, is your electronic signature and has the same effect as a handwritten signature. The name you type must exactly match the name registered on your account. Each signing event is recorded together with the date, time and place of signing and the technical details of the device used (IP address and browser identifiers). The same method applies when Walt Capital Management signs: an authorised person signs electronically on the firm's behalf, and that signature is recorded in the same way.
4. What you sign, and the versions you accept. During onboarding you will be presented with our onboarding documents to complete and sign. The platform presents them in the order it directs; each document tells you what it is before you sign it. When you accept these Terms, the Privacy Notice, or sign any document, the platform records the exact version you accepted or signed, so that there is never uncertainty about what was agreed.
5. Your privacy. Our Privacy Notice explains what personal information we collect, why, on what legal basis, where it is stored, and your rights. It is presented to you at sign-up, and your acceptance is recorded. It is also available on our website at any time, without logging in. The Privacy Notice forms part of these Terms.
6. Electronic communications. You agree that we communicate with you electronically: notices, documents, statements and reports are delivered electronically — through the platform or by email to your registered email address. It is your responsibility to keep your contact details up to date on the platform.
7. If you do not finish signing up. If you start the sign-up process but do not complete it, the information you provided is deleted after 14 days. If you return after that, you will need to start again.
8. When your account becomes active. Completing and signing the onboarding documents does not by itself make you a client. Your application is first reviewed by Walt Capital Management. The client relationship takes effect only when the firm countersigns your documents after that review, and no services are rendered before then. While your application is being considered, its status is shown as "under review". We may decline an application; if we do, we will inform you.
9. Your statements and reports. By ticking the statements box at sign-up you consent in writing to receiving your account statements and reports by continuous electronic access: they are made available on the platform, where you can view and download them at any time, and they will not be emailed or otherwise sent to you. We will notify you by email when a new statement or report becomes available. This is how you receive the regular reports we are required to provide about your investments.
10. Acceptable use. You must keep your login details (including your two-factor authentication method) secure and not allow anyone else to use your account. You must provide information that is true, accurate and complete. We may suspend access to protect you, other clients, or the platform.
11. Changes to these Terms. If we change these Terms materially, we will publish the updated version and tell you; the version you accepted, and when, remains on record.
12. Law. These Terms are governed by South African law.
